Please carefully read the following terms of a legal agreement (hereafter “Terms of Service” or “TOS”) between You and Geodesic Information Systems Ltd. (“GEODESIC”) with respect to your access and use of the Mundu Interoperable Messenger Service (“Mundu IM”), which may also include Mundu software, content and related documentation and information (collectively, the "Service"). You agree and understand that certain portions of this Service may be governed by other terms, guidelines and copyright information, which must be observed and followed. All such terms, guidelines and copyright information are hereby incorporated by reference into the TOS.

1. ACCEPTANCE OF TOS AND SUBSCRIPTION

1.1	By accessing, browsing, downloading and/or using the Service, you acknowledge that you have read, understood, and agree, to be bound by the TOS and GEODESIC Privacy Policy and to comply with all applicable laws and regulations. Each time you use the Service, you reaffirm your acceptance of the then-current TOS. If you do not wish to be bound by these TOS, you may discontinue using the Service.
1.2	If you obtain more than one Service from GEODESIC, the TOS shall be applicable in respect of all the Services and your acceptance of the TOS at the time of availing the Service for the first time shall be deemed to be acceptance of TOS for the Services availed subsequently.
1.3	GEODESIC is not obligated to provide updates or improvements to the Service. However, if GEODESIC, in its sole discretion, updates or improves the Service, the TOS shall apply to such updates and improvements unless expressly noted otherwise

2. MODIFICATIONS OR UPDATES TO TOS

2.1

GEODESIC may change the TOS at any time and such changes shall be effective immediately. You are responsible for regularly reviewing the TOS. The most recent version of the TOS can be found at http://www.wireless.mundu.com. Your continued use of the Service affirms your agreement to the TOS and any changes.

3. REQUIREMENTS FOR REGISTRATION OR USE OF THE SERVICE

3.1	The Services are intended for general audiences. You represent and warrant that you have adequate legal capacity to enter into binding agreements such as this TOS. The Services may require the user to register and provide information to GEODESIC, such as name, date of birth, gender, e-mail address (the "Registration Information"). If you register for any Service, you agree to provide accurate and complete Registration Information and you agree to keep such information current.
3.2	If you suspect an error in the Registration Information supplied to GEODESIC, you shall immediately make ‘best efforts’ to correct the error wherever possible or inform GEODESIC in writing. GEODESIC is not responsible for any loss or damage caused to you due to non-compliance with this clause.
3.3	You will need a valid form of identification to use the Services, such as a valid screen name issued by GEODESIC or such other forms of user identification authorized by GEODESIC.

4. YOUR ACCOUNT AND RESPONSIBILITIES

4.1

You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to:

a)	immediately notify GEODESIC of any unauthorized use of your password or account or any other breach of security, and
b)	ensure that you exit from your account at the end of each session. GEODESIC cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 4.1.

4.2

You understand that the technical processing and transmission of the Service, including your communication content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. You understand that the Service and software embodied within the Service may include security components that permit digital materials to be protected, and use of these materials is subject to usage rules set by GEODESIC and/or content providers who provide content to the Service. You may not attempt to override or circumvent any of the usage rules embedded into the Service. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Service, in whole or in part, is strictly prohibited.

4.3

You agree to use the Service only to send, receive, and transfer appropriate messages and material. By way of example, and not as a limitation, you agree that when using the Service, you will not:

4.3.1	use the GEODESIC Web site or the Services to defame, abuse, solicit, harass, stalk, threaten or otherwise violate the legal rights of any person. You shall not use the Service to distribute any information that promotes or contains bigotry, racism, hatred, profanity or obscenity, promotes physical harm.
4.3.2	engage in any fraudulent, abusive or illegal activity, including but not limited to any communication or solicitation designed or intended to fraudulently obtain any private information of any person
4.3.3	use the GEODESIC Web site or the Services to violate the security of any computer network, crack pass words or security encryption codes, transfer or store illegal material
4.3.4	reverse engineer, decompile, disassemble, copy, reproduce, distribute, modify, transmit, perform, publish or create derivative works from, or in any way exploit, any of the Services in violation of this TOS or the laws of any country.
4.3.5	use the Service to distribute any information that you know, or reasonably should know, cannot be legally distributed
4.3.6	reproduce, duplicate, copy, sell, resell or exploit for any commercial purpose, or redistribute or publish any information, Services provided by GEODESIC or obtained from GEODESIC without obtaining the express, prior written consent of GEODESIC. This restriction includes any attempt to incorporate any information provided by GEODESIC into any other directory, product, or service.
4.3.7	do any act that violates our intellectual property in the Services.
4.3.8	do any act that may cause the overload of the servers or which will adversely affect any service as provided by GEODESIC to anyone, unless there is an explicit written permission from GEODESIC to do so.
4.3.9	use the Services to display and/or publish any adult content, which without limitation includes all pornography, erotic images, or otherwise lewd or obscene content. The designation of "adult content" is left entirely to the discretion of GEODESIC.
4.3.10	Create a false identity for the purpose of misleading others.

5. NO OBLIGATION TO MONITOR

5.1

You understand that all information, data, text, software, sound, graphics, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not GEODESIC, are entirely responsible for all Content that you post, transmit or otherwise make available via the Service. GEODESIC does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will GEODESIC be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted or otherwise made available via the Service.

5.2

You acknowledge that GEODESIC may or may not pre-screen Content on the site, but that GEODESIC and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or move any Content that is available via the Service. Without limiting the foregoing, GEODESIC and its designees shall have the right to remove any Content that violates the TOS or is otherwise objectionable.

5.3

You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by GEODESIC or submitted to GEODESIC, including without limitation information in GEODESIC Web site, and in all other parts of the Service.

5.4

You acknowledge, consent and agree that GEODESIC may access, preserve, and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to:

(a)	comply with legal process;
(b)	enforce the TOS;
(c)	respond to claims that any Content violates the rights of third-parties;
(d)	respond to your requests for customer service; or
(e)	protect the rights, property, or personal safety of GEODESIC, its users and the public.

5.5

You acknowledge that GEODESIC neither endorses the contents of any communications nor assumes the responsibility for any threatening, libelous, obscene, harassing or offensive material contained therein, any infringement of third party intellectual property rights arising therefrom, or any crime facilitated thereby.

5.6

No advice or information, whether oral or written, obtained by you from or through the Service or any person shall create any warranty not expressly stated herein.

6. INTERACTION WITH THIRD PARTY SITES AND SERVICES

6.1

The Service may allow you to interact with third party Web sites and Web services ("Link(s)"). The Links are not under the control of GEODESIC and GEODESIC is not responsible for the contents of any Links, including without limitation any link contained in a Link, or any changes or updates to a Link. GEODESIC is not responsible for any form of transmission received from any Link, nor is GEODESIC responsible if the Link is not working appropriately. GEODESIC is providing these Links to you only as a convenience, and the inclusion of any Link does not imply endorsement by GEODESIC of the Link or any association with its operators. You are responsible for viewing and abiding by any privacy statements and terms of use posted in connection with the Links. You are solely responsible for any dealings with third parties (including advertisers) who support the Service, including the delivery of and payment for goods and services.

7. LICENSING OF THE SOFTWARE AND CONTENT

7.1	GEODESIC allows you to download software and content (relating to the software of Mundu IM) namely Mundu IM, in connection with the Service (“Software”). The Software may be downloaded by you on an "as is" and "as available" basis and is made available for downloading solely for use according to the terms of the license agreement relating to such Software, which is available by clicking on the download option within this site. You should not download the software unless you accept the terms of such license.
7.2	For any Software not accompanied by a license agreement, GEODESIC hereby grants to you, the user, a non-exclusive, revocable, personal, non-transferable license to use the Software solely in connection with the Service in accordance with this TOS. You may not lend, lease, rent or sublicense the Software or any aspect of the Service.
7.3	GEODESIC disclaims all liability (to the full extent possible) for any loss or damage caused by any such software and makes no assurances with regard to the accuracy of the results that derive from using the Software.
7.4	You will not disassemble, decompile, or reverse engineer the Software. All Software is protected by copyright laws. Any unauthorized reproduction or redistribution of the Software is expressly prohibited by law, and may result in severe civil and criminal penalties. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENSE AGREEMENT. You acknowledge that the Software, and any accompanying documentation and/or technical information, is subject to applicable export control laws and regulations of India. You agree not to export or re-export the Software, directly or indirectly, to any countries that are subject to Indian export restrictions.

8. TERMINATION OF LICENSE

8.1	Your license to use the Software is effective until terminated by either party. You may terminate the license at any time by destroying all materials obtained from any and all GEODESIC site(s) and all related documentation and all copies and installations thereof, whether made under the terms of the TOS or otherwise.
8.2	The license will terminate immediately without notice from GEODESIC if in GEODESIC's sole discretion you fail to comply with any of the terms or provisions of the TOS or the Software license agreement. Upon termination, you must destroy all materials obtained from this Web site and any and all other GEODESIC Web site(s) and all copies thereof, whether made under the terms of the TOS agreement or otherwise.
8.3	Unless you, or a third party on your behalf, have entered into a separate written agreement with GEODESIC that modifies these TOS, GEODESIC reserves the right, in its sole discretion, to terminate your access to and use of the Service or any portion thereof at any time, without notice. Also, unless you or a third party on your behalf have entered into a separate agreement with GEODESIC, GEODESIC may terminate or suspend your access to the Service for inactivity, which is defined as failing to log onto the Service for an extended period of time, as determined by GEODESIC.

9. LIMITED OBLIGATIONS OF GEODESIC

9.1	Except as warranted in this TOS, GEODESIC expressly disclaim all warranties of any kind, whether express or implied or statutory, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, data accuracy, validity, integrity, currentness, adequacy & completeness, and any warranties relating to non-infringement in the Service.
9.2	GEODESIC makes no warranty that the Service will meet your requirements.
9.3	GEODESIC shall be not responsible or liable for the authenticity, accuracy, completeness, errors, omission, typographic errors, disruption, delay, interruption, failure, deletion, defect of any information etc in this Service or Web site or any part thereof.
9.4	GEODESIC shall not incur any liability direct or indirect, to you or any third party, as a consequence of non-functioning of any equipment belonging to you, any third party or GEODESIC. GEODESIC shall not be responsible for any downtime of such equipment.
9.5	GEODESIC shall not incur any liability, loss, claim, expense or costs in relation to any unauthorized use of your credit card number or any misappropriation of payments due to use of any transaction on the GEODESIC Web site.
9.6	GEODESIC does not warrant that the Service will be uninterrupted, timely, secure, or error free; nor does it make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of the Service.
9.7	GEODESIC clarifies that there is no warranty of title, authority or non-infringement in the Service. GEODESIC makes no representations or warranties, either express or implied that the research, development, marketing, distribution, use or sale of the Service will not infringe any patent, copyright or other right of any third party.
9.8	GEODESIC makes no warranty regarding any service obtained or purchased through or from any other service provider to whom GEODESIC has provided a link through the Service or any transactions entered into through the Service.
9.9	GEODESIC will not be liable for any virus that may enter your system as a result of you using the Service. GEODESIC makes no guarantees to you or third parties that the Service would be virus free. GEODESIC will not be liable for any direct, incidental or consequential loss, which may be caused to you as a result of the your use of the Service.
9.10	In the event the server or the Domain Name Server may need to be changed, reconfigured or for any similar reason there is any delay, loss or damage to, the Service, or any data or information it is agreed that GEODESIC will in no circumstance be responsible for any such loss, delay or damage to You. It is agreed that such events as mentioned above may cause you some inconvenience and/or damage, but at no point of time will you hold GEODESIC responsible for the inconvenience or damage caused to you.
9.11	GEODESIC shall be neither responsible nor liable for any deficiency that may be caused to your Service or any external pointing service that may be caused due to the change of your Registration Information for any reason whatsoever. In the event you are planning of changing your Registration Information, then you undertake to furnish this Registration Information to GEODESIC at least 7 (seven) days in advance of the days in which you are planning to make the actual changes to your Registration Information and GEODESIC is to be given at least 7 (seven) days before which GEODESIC is to make the required changes in order to provide you with the Service.
9.12	GEODESIC shall not be held responsible for any loss or damage caused to you because of the actions of any employee or any person who acts beyond his/her authority and who may be associated with the Company now or in the future and who may have access to Registration Information relating to you.
9.13	GEODESIC is not liable to keep any back up of the information loaded on the web space provided by GEODESIC. You will be solely responsible for the file backup. At no point of time will GEODESIC be responsible for any data losses.

10. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

10.1

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

10.1.1	YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GEODESIC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
10.1.2	GEODESIC MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
10.1.3	ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
10.1.4	NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM GEODESIC OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.
10.1.5	A SMALL PERCENTAGE OF USERS MAY EXPERIENCE EPILEPTIC SEIZURES WHEN EXPOSED TO CERTAIN LIGHT PATTERNS OR BACKGROUNDS ON A COMPUTER SCREEN OR WHILE USING THE SERVICE. CERTAIN CONDITIONS MAY INDUCE PREVIOUSLY UNDETECTED EPILEPTIC SYMPTOMS EVEN IN USERS WHO HAVE NO HISTORY OF PRIOR SEIZURES OR EPILEPSY. IF YOU, OR ANYONE IN YOUR FAMILY, HAVE AN EPILEPTIC CONDITION, CONSULT YOUR PHYSICIAN PRIOR TO USING THE SERVICE. IMMEDIATELY DISCONTINUE USE OF THE SERVICE AND CONSULT YOUR PHYSICIAN IF YOU EXPERIENCE ANY OF THE FOLLOWING SYMPTOMS WHILE USING THE SERVICE -- DIZZINESS, ALTERED VISION, EYE OR MUSCLE TWITCHES, LOSS OF AWARENESS, DISORIENTATION, ANY INVOLUNTARY MOVEMENT, OR CONVULSIONS.

10.2

You agree that GEODESIC, their employees, directors etc., shall not be liable for any direct, indirect, incidental, special or consequential damages, (including, but not limited to, damages caused by any virus, personal injury, loss of profits, data, business interruption, loss of privacy, or any other pecuniary loss) resulting from the use/delivery/performance or the inability to use/deliver/perform the Service or for cost of procurement of substitute goods and repair & correction services or resulting from the Service subscribed to or obtained or messages received or transactions entered into through or from the Service or resulting from unauthorized access to or alteration of your transmissions or data, even if GEODESIC has been advised of the possibility of such damages.

10.3

You agree that GEODESIC shall not be liable for any damages arising from interruption, suspension or termination of Service, including but not limited to direct, indirect, incidental, special, consequential or exemplary damages, whether such interruption, suspension or termination was justified or not, negligent or intentional, inadvertent or advertent.

10.4

In no event will the liability of GEODESIC for any claim, whether in contract, tort, or any other theory of liability, exceed the greater of the amount actually paid by you for subscribing to the Service, if applicable.

11. REPRESENTATION, WARRANTY AND INDEMNIFICATION

11.1

You represent and warrant that:

(i)	you are at least eighteen (18) years of age;
(ii)	you possesses the legal right and ability to enter into this Agreement, and
(iii)	the performance of the obligations and use of the Services by you and your customers and users will not violate any applicable laws, regulations or cause a breach of any agreements with any third parties or unreasonably interfere with other GEODESIC customers' use of the Services. You assume all risks related to processing of transactions related to electronic commerce.

11.2

In the event of any breach of any of the foregoing warranties, in addition to any other remedies available at law or in equity, GEODESIC will have the right, in its sole discretion, to suspend or terminate immediately any Services.

11.3

You agree to indemnify and hold GEODESIC harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of :

11.3.1	your use of this Web site, the Service, or the violation of this TOS, any intellectual property or any other right of any person or entity by you.
11.3.2	the violation of or due to any acts or omissions of any of the terms and conditions of this TOS or the agreement between you and the end users

12. PURCHASES AND PREMIUM SERVICES

12.1

GEODESIC may from time to time give you the opportunity to purchase or subscribe to products and premium services on GEODESIC (collectively, "Premium Services"). You agree that your purchase or subscription of any Premium Service will be subject to additional terms and conditions that will supplement this agreement.

12.2

Any trial promotion (such as free trial time or trial access to a Premium Service) must be used within the specified time of the trial. You must cancel your account before the end of the trial period to avoid being charged a membership fee. Please note, however, that even during any free trial or other promotion, you will still be responsible for any purchases and surcharges incurred using your account and that you remain responsible for any telecommunications charges or Internet access charges that you may incur while you use a Premium Service.

13. YOUR PAYMENT RESPONSIBILITIES

13.1	You must select a payment method to pay for your fees for any Premium Service and for all purchases made from GEODESIC Products. You must give GEODESIC accurate billing and payment information. You agree to pay GEODESIC for all charges incurred under your account, including all applicable taxes, fees and surcharges. You authorize GEODESIC to charge your designated payment method for these charges. If GEODESIC does not receive payment from your designated payment method, you agree to pay all amounts due upon demand by GEODESIC or its operators.
13.2	Every time you use an GEODESIC product, you reaffirm that (i) GEODESIC (or its designated vendor acting as GEODESIC's billing agent) is authorized to charge your designated payment method; (ii) GEODESIC may submit charges incurred under your account for payment; and (iii) you will be responsible for such charges, even if your membership is canceled or terminated.
13.3	You are responsible for all charges incurred under your account, including applicable taxes, fees, surcharges and purchases made by you or anyone on your account.
13.4	You must notify GEODESIC's customer service about any billing problems or discrepancies within 7 (seven) days after they first appear on your Account statement. If you do not bring them to GEODESIC's attention within 7 (seven) days, you agree that you waive your right to dispute such problems or discrepancies.

14. ELECTRONIC DELIVERY POLICY

14.1

GEODESIC, as an online business, transacts with its users electronically. WHEN YOU SIGN UP FOR ANY GEODESIC PRODUCT, YOU CONSENT TO RECEIVE ELECTRONICALLY FROM GEODESIC ANY PRIVACY OR OTHER NOTICES, AGREEMENTS, DISCLOSURES, REPORTS, DOCUMENTS, COMMUNICATIONS, OR OTHER RECORDS (COLLECTIVELY, "NOTICES"). You agree that GEODESIC generally can send you electronic Notices in either or both of the following ways: (1) to the e-mail address that you provided to GEODESIC during registration or (2) GEODESIC may post Notices on a welcoming screen or top page of the relevant GEODESIC Product. You agree that certain premium services may also have their own Notice procedures. You must check your designated e-mail address regularly for Notices.

14.2

The delivery of any Notice from GEODESIC is effective when sent by GEODESIC, regardless of whether you read the Notice when you receive it or whether you actually receive the delivery. Your only method of withdrawing consent to receive Notices electronically is to terminate any subscriptions, Services or other products provided under these TOS.

15. INTELLECTUAL PROPERTY NOTICES

15.1	All contents of any GEODESIC Web site related to the Service are:

Except as expressly provided in these TOS, the furnishing of such Web pages to you does not give you any license to these trademarks, copyrights, or other intellectual property. Any rights not expressly granted herein are reserved.

16. NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT

16.1

GEODESIC respects the intellectual property of others, and GEODESIC asks our users to do the same. GEODESIC may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be repeat infringers. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide GEODESIC’s Agent the following information:

a)	an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
b)	a description of the copyrighted work or other intellectual property that you claim has been infringed;
c)	a description of where the material that you claim is infringing is located on the site;
d)	your address, telephone number, and email address;
e)	a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
f)	a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

17. MISCELLANEOUS

17.1	This TOS is governed by the laws of the Republic of India. You consent to the exclusive jurisdiction and venue of courts in Mumbai, India in all disputes arising out of or relating to the use of this Web site or Service.
